By accessing or using AI Brand Factory ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

AI Brand Factory is a SaaS platform that enables users to generate brand assets including logos, social media graphics, and other marketing materials using artificial intelligence. The Service includes web-based tools, APIs, and related services.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate
  • Keep your password secure and confidential
  • Be responsible for all activities under your account
  • Notify us immediately of any unauthorized use

4. Subscription and Payment

Some features of the Service require a paid subscription. By subscribing:

  • You authorize us to charge your payment method on a recurring basis
  • Subscriptions auto-renew unless cancelled before the renewal date
  • You may cancel at any time, effective at the end of your billing period
  • Refunds are provided at our discretion and per our refund policy
  • Prices may change with 30 days' notice

4.1 Credits

The Service operates on a credit-based system. Credits are used to generate assets. Unused credits may expire according to your plan terms. Credit purchases are non-refundable once credits have been used.

5. Intellectual Property Rights

5.1 Your Content

You retain ownership of all content you upload to the Service. By uploading content, you grant us a license to use, process, and store it solely for providing the Service.

5.2 Generated Assets

Assets generated through the Service are owned by you, subject to:

  • Compliance with these Terms
  • Third-party licenses (e.g., font licenses)
  • Our right to use anonymized data to improve the Service

5.3 Our Property

The Service, including its software, design, features, and documentation, is owned by AI Brand Factory and protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of the Service.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Generate content that infringes on others' intellectual property
  • Create harmful, offensive, or discriminatory content
  • Attempt to bypass security measures or access restrictions
  • Interfere with the Service's operation or other users' access
  • Use automated tools to access the Service without permission
  • Resell or redistribute the Service without authorization
  • Generate content that violates applicable laws or regulations

7. API Usage

Access to our API is subject to:

  • Rate limits as specified in your plan
  • Proper attribution when required
  • Secure handling of API keys
  • Additional terms in our API documentation

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT:

  • The Service will be uninterrupted or error-free
  • Generated content will be suitable for any particular purpose
  • Generated content will be unique or not infringe third-party rights

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI BRAND FACTORY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless AI Brand Factory from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time for violations of these Terms or for any other reason with notice. Upon termination, your right to use the Service ceases immediately, and you must delete any downloaded materials.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes through the Service or via email. Continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
